Board Structure and Responsibilities: Managed or Forced Evolution?
The February Arizona Chapter Meeting will be the first of two focused on governance best practices. The panelists will be our fellow chapter members Bernie Rethore, Bob Mittelstaedt and J.P. Millon. The panel will discuss board structures and responsibilities, including organizational issues, investor issues and effective board operations.

Robert E. Mittelstaedt, Jr.Mr. Mittelstaedt is Dean Emeritus, W.P. Carey School of Business, Arizona State University. During his 2004-2014 time as Dean, the school's recognition and rankings improved significantly. From 1973 to 2004, Bob served in numerous roles at The Wharton School, including 14 years as Vice Dean. He co-founded and led The Directors' Institute , a senior executive corporate governance course than ran more than 35 times over 12 years in the US and UK. He co-founded the e-Commerce Forum and knowledge@wharton, an electronic business resource now read in four languages by more than 1.5 million readers around the globe every two weeks. Bob also co-founded, developed and sold Intellego, Inc., a company engaged in practice management, systems development and service bureau billing operations in the medical industry. He currently serves as Lead Director of Laboratory Corporation of America, and lead director & chair of the nominating and governance committees of Innovative Solutions & Support. He previously served on the board of W.P. Carey, Inc. and on private company boards in insurance, auto parts and technology.
Bernard G. RethoreMr. Rethore is Chairman of the Board Emeritus of Flowserve Corporation and was its founding Chairman and CEO. Previously, he had served as Chairman, President and CEO of BW/IP Inc., one of Flowserve’s predecessor companies, as President of Phelps Dodge Industries, the diversified manufacturing business of Phelps Dodge Corporation, and as President and CEO of Microdot Industries. Before joining Microdot, Bernie was a Senior Engagement Manager in the Washington office of McKinsey & Company. Bernie is a Director of Dover Corporation and Mueller Water Products Co. He has served on the boards of eight public companies, a mutual insurance company and numerous academic and not-for-profit organizations. He has chaired Audit, Compensation, Environment, Health and Safety, Finance and Nominating and Governance Committees. In 2008, he was named an Outstanding Director in the U.S. by the Financial Times’ Outstanding Directors Exchange. In 2012, Rethore was designated a Board Leadership Fellow by the National Association of Corporate Directors (NACD).
Jean-Pierre MillonJean-Pierre Millon is a director at CVS Caremark, Inc. Mr. Millon’s board position at CVS Caremark evolved as a result of CVS merger with Caremark and Caremark’s purchase of AdvancePCS. J.P. was named to the board of AdvancePCS upon the merger of Advance Paradigm and PCS Health Systems. Mr. Millon was president and chief executive officer of PCS from 1996 to 2000. He is a co-founder of BLS LLC, a consulting and investing entity based in Indianapolis. He is on the boards of Portable Genomics, of Proove Biosciences, and of TAV Health. He sits on the CEO advisory board of Great Point Partners, a private equity group. He was previously a director of Equian, Cypress Biosciences, Prometheus Labs, Infusystems Inc., and of MPV Inc. J.P. was an executive with Eli Lilly and Company and served as president and general manager of Lilly Japan K.K. and vice president of the Lilly pharmaceutical division in Kobe, Japan. He is a board member at St Joseph hospital in Phoenix and of the Scottsdale Cultural Council. He was a member of the Kellogg Graduate School of Management Alumni Advisory Board and a board member of the Phoenix Council on Foreign Relations.
