Current Issues in Executive Compensation
Mike Esser and Mark Hillard will discuss current issues and recent trends and changes affecting executive compensation, including CEO pay ratio, clawbacks and other SEC items which may be in flux given the election. The influence of shareholder advisors such as ISS and Glass Lewis, developments in performance-based short and long-term incentives and non-employee Director compensation will also be examined, including recent legal developments.

Mike EsserMike is a Managing Director with Pearl Meyer in Los Angeles. He has more than 25 years experience in executive and Board compensation, compensation strategy, and annual and long-term incentive/equity plan design. His consulting experience covers a variety of industries and company organizations and developmental stages, including startup/pre-IPO, privately-held, public, cooperatives, and non-profit organizations. He is a frequently published author on compensation topics. Mike was previously a consultant and senior manager with Arthur Andersen LLP. He was also an executive compensation consultant with Hewitt Associates and co-managed that firm's Total Compensation Measurement Database.
Mark HilliardMark is VP-Law & Associate General Counsel & Vice President-Total Rewards for Apollo Education Group, Inc. Mark works closely with the Compensation Committee of Apollo's Board of Directors in the areas of executive compensation, employee compensation & benefits, and labor & employment law. Mark previously served as Senior Director-Legal Services for Cisco Systems, Inc. Mark has over 30 years of experience as in-house legal counsel in the areas of labor, employment, benefits and executive compensation in the US but also internationally in every region of the world.
